These Terms of Service govern the relationship, collaboration protocols, and structural boundaries between Auroralyn(referred to as the "Studio") and any client alias, corporate entity, or user nodes utilizing our services (referred to as the "Partner" or "Client"). Accessing our systems or validating a project statement constitutes immediate agreement with these terms.
Project Genesis & Protocols
Collaborative relationships are formally initiated through a customized digital brief, service matrix, or statement of work. No contract is considered live until:
- The Statement of Work (SOW) is authenticated by both Client and Studio nodes via digital signature.
- The initial genesis retainer payment is successfully processed through our currency gateway.
Any variations, subsequent scope expansions, or additional features requested beyond the validated SOW must be mapped in supplementary digital amendments.
Intellectual Constructs
We build state-of-the-art intellectual constructs. Ownership pathways are explicitly structured as follows:
Client Ownership
Upon absolute settlement of all outstanding invoices, ownership of the finished custom interface assets, design templates, and final compiled source code transfers entirely to the Partner.
Studio Ownership
Auroralyn retains ownership of its underlying frameworks, design engines, pre-existing assets, developer tools, custom scripts, and software configurations utilized to assemble the final product.
The Studio grants the Client a perpetual, royalty-free, non-exclusive license to operate our proprietary frameworks solely within the scope of the completed project delivered.
Client Node Obligations
To ensure rapid design velocity, the Partner agrees to actively participate in the development process:
- Provide all text copy, branding graphics, API credentials, and critical resources inside the timeline specified in the project roadmap.
- Deliver timely developmental feedback and milestones approvals (typically within 48 to 72 hours of review release).
LATENCY_NOTICE: Delays in the transmission of assets or feedback from the Client will automatically defer scheduled release timelines and may require resource-rescheduling fees.
Currency Exchanges & Terms
Engagement retainers are fully mapped against project milestones. Payments are executed through verified cryptographic or digital payment gateways as detailed below:
- Invoicing Schedule: Invoices are dispatched on milestone completion and must be cleared within 14 Earth days of receipt.
- Suspension Protocol: Late payments beyond 21 days trigger automatic developmental freezing of related servers and source repositories.
- Non-Refundability: Retainer retainers and payments for completed milestones are absolute and non-refundable due to dedicated computational scheduling.
Limits of Agency
Auroralyn builds high-performance digital systems. However, we do not claim full agency over:
- Disruptions caused by third-party hosting networks, API deprecations (Google, Vercel, OpenAI, etc.), or external service dropouts.
- Fluctuations in search positioning, user retention, or commercial revenue stemming from the deployment of our systems.
In all events, the maximum aggregate financial liability of the Studio to the Client for any claim arising from this collaboration is capped at the exact amount paid for the specific active milestone in dispute.
Legal Jurisdiction
These terms are synthesized and executed in accordance with applicable laws governing digital commerce, and any legal contentions will be routed through chosen local arbitration nodes.
If any individual clause in this agreement is declared invalid by a judicial node, the remaining paragraphs remain fully functional and active.
